Terms of Service

Last updated October 21, 2026 · Helpawy

The short version

  • You own your content. You give us permission to use it only to run your agents.
  • Every workspace starts with a free, time-limited trial. There is no free plan.
  • Only add content you have the right to use, and don’t use Helpawy for anything illegal or harmful.
  • AI can make mistakes. Keep your content accurate and check your agent’s answers.

This summary is for convenience. The full text below is what applies.

1The agreement

These Terms are an agreement between you and Helpawy (“Helpawy”, “we”, “us”). Helpawy is run by an independent operator based in Texas, United States. It is not a company. By creating an account or using Helpawy, you agree to them and to our Privacy Policy. If you use Helpawy for a business, you confirm you can accept these Terms for it. You must be at least 16 to use Helpawy.

2The service

Helpawy reads the website pages and documents you choose, and the answers you write (your “sources”), and lets you create AI agents that answer your visitors’ questions from them, on your website through our widget or through a share link. Agents answer only from your sources and, if you turn on live products, from your own store’s current product details. We may improve or change features over time; if we remove something you rely on, we’ll tell you in advance where we reasonably can.

3Your account

Give accurate information when you sign up and keep your sign-in details secure. You’re responsible for activity in your workspace. Tell us at privacy@helpawy.com if you think someone has accessed your account without permission.

4Free trial and plans

Every new workspace starts with a free trial. Its length is shown when you sign up. There is no free plan. Each plan, including the trial, has limits, such as the number of agents, sources, pages and conversations; when you reach a limit, the action is blocked until you upgrade or free up capacity.

When your trial ends without a subscription, nothing is deleted: your agents stop starting new conversations until you subscribe, and everything you’ve built stays available to you.

5Fees

Plans and their prices are shown on our pricing section. You’re only charged after you choose a plan and confirm on the checkout page, which is run by our payment processor, Stripe. Choosing a paid plan during your trial ends the trial and starts the plan right away.

Monthly plans renew every month; yearly plans are prepaid for the year. Usage limits reset every month, including on yearly plans, and unused usage doesn’t roll over. Upgrades take effect immediately and are prorated. Downgrades and cancellations take effect at the end of the current billing period, and we don’t refund partial periods, except where the law requires it. Renewals are charged at the renewal price shown to you before checkout.

If a renewal payment fails, your plan keeps working while the payment is retried; if it can’t be collected, the plan ends. When a plan ends, nothing is deleted, but your agents stop starting new conversations until you subscribe again. Prices exclude tax; any applicable tax is added at checkout.

6Your content

You keep all rights to your content: the pages and documents you add, the answers you write, your agent settings, and your visitors’ conversations. You give us permission to host, copy and process your content only to provide and secure Helpawy for you. We never use it to train AI models.

You’re responsible for your content. Only add websites you own or are allowed to have read, and documents you have the right to use, and make sure your content doesn’t break the law or anyone’s rights.

7Your visitors

When you put an agent on your website or share its link, you’re responsible for telling your visitors that they’re talking to an AI assistant, and for having a privacy notice that covers it. For visitor conversations we act as your service provider, as described in our Privacy Policy. If you use forms or lead capture to collect visitors’ details, you’re responsible for having a lawful reason to collect them, for telling visitors how you’ll use them, and for emailing offers only to visitors who agreed. If you send leads to another service with a webhook, that service works for you, and you’re responsible for it.

8Acceptable use

Don’t use Helpawy to:

  • break the law, or infringe anyone’s intellectual property or privacy;
  • read websites you don’t own or aren’t allowed to have read;
  • send spam, deceive people, or impersonate someone else;
  • give medical, legal or financial advice that people are meant to rely on without a qualified professional;
  • attack, overload, probe or reverse-engineer the service, or get around its limits;
  • build a competing product from our service or its outputs.

We may remove content or suspend agents that break these rules.

9AI answers

Agents generate answers with AI from your sources. AI can be wrong or incomplete, even with accurate sources. Answers are general information, not professional (medical, legal, financial or other) advice. Your agent speaks for your business: you’re responsible for what it tells your visitors, for keeping your content correct and current, and for checking how it answers before you rely on it.

10Your responsibility for claims

If someone makes a claim against Helpawy because of your content, what your agent told your visitors, your use of Helpawy, or your breaking these Terms or the law, you agree to cover the costs, damages and reasonable legal fees that result, to the extent the law allows.

11Ending the agreement

You can delete your account at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, or if the law requires it; where reasonable, we’ll tell you first. After your account is deleted, we erase your data as described in our Privacy Policy.

12Disclaimers

Helpawy is provided “as is” and “as available”. To the extent the law allows, we make no warranties beyond those in these Terms, including that the service will be uninterrupted or that answers will always be accurate.

13Limitation of liability

To the extent the law allows, Helpawy isn’t liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim, or US$100 if you haven’t paid us anything. Nothing in these Terms limits liability that can’t be limited by law.

14Changes to these Terms

If we make a material change, we’ll email you and update the date at the top of this page before it takes effect. Continuing to use Helpawy after that means you accept the updated Terms.

15Copyright complaints

If you believe an agent or a source on Helpawy uses your copyrighted material without permission, email privacy@helpawy.com with the material, where it appears and your contact details. We’ll review it and remove material that infringes.

16Disputes and governing law

If you have a problem with Helpawy, email privacy@helpawy.com first and give us 30 days to try to resolve it informally. Most issues can be settled that way.

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Any dispute that can’t be resolved informally will be handled only in the state or federal courts located in Texas, and you and we agree to their jurisdiction. To the extent the law allows, claims may be brought only individually, not as part of a class or group action, and must be brought within one year after the claim arose.

17General

These Terms and our Privacy Policy are the whole agreement between you and Helpawy about the service. If any part is found unenforceable, the rest still applies. If we don’t enforce a right straight away, we haven’t given it up. You can’t transfer these Terms without our consent; we may transfer them if Helpawy is transferred to a new operator, and we’ll tell you if that happens.
